(12)索赔：在货到目的口岸45天内如发现货物品质，规格和数量与合同不附，除属保险公司或船方责任外，买方有权凭中国商检出具的检验证书或有关文件向卖方索赔换货或赔款。
Claims:
Within 45 days after the arrival of the goods at the destination, should the quality, Specifications or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vessel are liable, the Buyers shall, have the right on the strength of the inspection certificate issued by the C.C.I.C and the relative documents to claim for compensation to the Sellers
(13)不可抗力：由于人力不可抗力的原由发生在制造，装载或运输的过程中导致卖方延期交货或不能交货者，卖方可免除责任,在不可抗力发生后，卖方须立即电告买方及在14天内以空邮方式向买方提供事故发生的证明文件，在上述情况下，卖方仍须负责采取措施尽快发货。
Force Majeure :
The sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers immediately of the occurrence mentioned above the within fourteen days there after . the Sellers shall send by airmail to the Buyers for their acceptancea certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the deliveryof the goods.
(14)仲裁：凡有关执行合同所发生的一切争议应通过友好协商解决，如协商不能解决，则将分歧提交中国国际贸易促进委员会按有关仲裁程序进行仲裁，仲裁将是终局的，双方均受其约束，仲裁费用由败诉方承担。
Arbitration :
All disputes in connection with the execution of this Contract shall be settled friendly through negotiation. in case no settlement can be reached, the case then may be submitted for arbitration to the Arbitration Commission of the China Council for the Promotion of International Trade in accordance with the Provisional Rules of Procedure promulgated by the said Arbitration Commission . the Arbitration committee shall be final and binding upon both parties. and the Arbitration fee shall be borne by the losing parties.

甲方：中国科学院 研究所
乙方： 博士
1.中国科学院 研究所聘请_______籍______ _______（外文姓名）__________（译名）女士/(先生)为访问学者，双方本着友好合作精神，自愿签订本合同并保证认真履行合同中约定的各项义务。
2.合同期自_______年____月_____日起至_____年_____月______日止。
3.甲方聘用乙方为本单位访问学者。甲方按照研究所有关规定在合同期内对乙方进行管理。

5.乙方按其意愿选定其研究的学科方向和合作人_____________，并在聘用期内与合作人及其课题组积极开展相关科研工作。

7.甲方的义务：
1)向乙方介绍中国有关法律、法规和甲方有关工作制度以及中国有关外国专家的管理规定。
2)对乙方的工作进行指导、检查和评估。
3)向乙方提供必要的工作和生活条件。
4)为乙方配备科研合作人。
5)按时支付乙方的报酬。
8.乙方的义务：
1)遵守中国的法律、法规，不干预中国的内部事务。
2)遵守甲方的工作制度和中国有关外国专家的管理规定，接受甲方的工作安排、业务指导、检查和评估。未经甲方书面同意，不得在甲方以外的其他单位兼职。
3)认真开展本合同所约定的研究工作，保证科研工作质量。
4)尊重中国的宗教政策。
5)遵守中国相关技术和科研保密规定，不从事与访问学者身份不符的活动。
6)尊重中国人民的道德规范和风俗习惯。
9.乙方在其受聘期科研工作基础上所产生的科研成果所有权归甲方，并享受甲方有关科研成果的奖励。访问期间取得的论文、专著、专利等科研成果均应标注“受中国科学院‘外籍青年访问学者奖学金计划’资助”。 详细约定见科研成果归属协议附件
10.乙方在聘期内享受中国官方假期。另外，可根据乙方本国特有的节日，享受累计不超过5日的特殊假期。
11.乙方请假须向甲方提交书面申请，病假需凭医院证明。假期在10日以内薪金照发。乙方因病不能继续本合同规定的工作时，双方可通过协商解除聘用关系。
12.合同的变更、解除和终止：
1)双方应信守合同，未经双方一致同意，任何一方不得擅自更改、解除和终止合同。
2)经当事人双方协商同意后，可以变更、解除和终止合同。在未达成一致意见前，仍要严格履行合同。
3)甲方在下述条件下，有权以书面形式通知乙方解除合同：
i.乙方不履行合同或者履行合同义务不符合约定内容，经甲方指出并协商后仍不改正的；
ii.根据医生诊断，乙方在病假连续30天后不能恢复正常工作的；
4)乙方在下述情况下，有权以书面形式通知甲方解除合同：
i.甲方未按合同约定提供乙方必要的工作和生活条件；
ii.甲方未按时支付乙方报酬。
13. 当事人一方不履行合同或者履行合同义务不符合约定内容，即视为违约。违约方应当向另一方支付________美元的违约金。乙方因不可抗力事件要求解除合同，需出具有关机构证明，经甲方同意后，离华的费用自理；乙方若无故解除合同，除离华费用自理外，还应当向甲方支付违约金。甲方因不可抗力事件要求解除合同, 经乙方同意后，离华费用由甲方负担；甲方若无故解除合同，除负担乙方离华费用外，还应当向乙方支付违约金。
